About this role:
Wells Fargo is seeking an Assistant General Counsel (VP) to join the Legal Department coverage team for the bank's Commercial Real Estate (CRE) business. For additional information on the Legal Department and the CRE line of business, refer to the external Careers Site at wellsfargo.com/career.
This position is responsible for providing line of business legal coverage for loan originations and related activity of the CRE businesses of Wells Fargo Bank and its affiliates, including Wells Fargo Securities, LLC. The CRE legal team provides transactional support, advice, and guidance in connection with:
- The origination, acquisition, and sale of bilateral and syndicated commercial loans, including construction, acquisition, and portfolio financings;
- Structured lending involving commercial mortgage-backed securities (CMBS) or real estate structured products; and
- Intercreditor issues associated with syndicated loans, senior/mezzanine and A/B loan structures
The CRE legal team also provides regulatory, compliance, marketing, and operational guidance, and routinely coordinates with other Legal Department colleagues, including those specializing in workout, litigation, deposit accounts, and regulatory compliance, as well as with compliance and control partners.
In this role, you will:
- Serve as a principal legal advisor to Wells Fargo’s CRE businesses
- Advise more experienced CRE leadership to develop or influence objectives, plans, resources, and long-term goals for highly complex business and needs
- Handle matters that have a significant impact on Wells Fargo’s operations, strategies, or profitability
- Provide substantive legal advice on matters for management of Wells Fargo and its subsidiaries
- Assist in the strategy and resolution of highly complex and unique challenges across multiple areas of the enterprise, delivering solutions that are long-term, large-scale and require vision, creativity, innovation, advanced analytical and inductive thinking, and coordination of highly complex activities and guidance to others
- Assist the business in development and implementation of strategic business initiatives, and work to meet deliverables and drive new initiatives
- Collaborate with and influence all levels of professionals, including more experienced managers
- Engage and influence stakeholders, internal partners, and peers associated with the function or affected by its outcomes
Required Qualifications:
- 5+ years of Law experience (or equivalent) demonstrated through one or a combination of the following: work experience, training, military experience, education
- Active State Bar membership or the equivalent in a country outside the United States
Desired Qualifications:
- 5+ years of significant experience as a practicing attorney in representing clients with respect to commercial real estate loan originations, syndications, and other CRE transactions
- Experience with origination of commercial mortgage loans, including balance sheet loans, loan syndications, and structured lending
- Experience with construction finance
- Familiarity with lending activity for major asset classes, including multifamily, retail, industrial/warehouse, office, hospitality, data centers and home builders
- Experience with title and survey matters
- Understanding of the regulatory environment in connection with investment banking advisory engagements and transactions
- Extensive experience conducting research and providing counsel and guidance regarding complex legal issues
- Strong attention to detail and accuracy
- Ability to work effectively in a complex environment with a high degree of collaboration
Pay Range
Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to achievements, skills, experience, or work location. The range listed is just one component of the compensation package offered to candidates.
$144,400.00 - $300,000.00Benefits
